Our energy clients have required Sandoval Attorneys and Counselors at Law to advise them on the legal aspects associated with the acquisition, structuring, financing, re-financing and/or development of hydroelectric, wind and solar power generation projects (“NCRE Projects”). In particular, we support our local and foreign clients by performing legal Due Diligence for the acquisition of NCRE Projects, and also in the negotiation and preparation of offer letters, contracts and agreements for the acquisition of said projects; we provide real estate advice on the sites NCRE projects shall operate; assistance in regulatory matters for greenfield projects or acquired from third parties; processing of permits and obtaining the necessary permits, authorizations and resolutions for the implementation of NCRE Projects (e.g., RCA, PAS, admission requirements, among others); drafting power purchase agreements (PPA); preparation of construction contracts for NCRE Projects; preparation of toll agreements for the use of electric power transmission facilities; advice to client’s operation and maintenance departments in all legal matters related to the acquisition of power generation equipment and heavy machinery (e.g., wind turbines); among other services.
Our team has also extensive experience in water rights and its use in various productive activities such as power generation, industrial use and domestic use. In addition, attorneys at the firm have experience in issuing legal opinions for the acquisition, sale and use of water rights as well as in the handling of administrative processes for the acquisition of water rights before the Chile’s General Directorate of Water (DGA), requests for transfer of water rights before the DGA, in-court representation of clients in disputes relating to water rights titles and exclusive enjoyment thereof; and, in general, representation and handling of all kinds of public or private water rights administrative processes.
